Foxy These Terms of Service govern your access to and use of the Foxy Audit product (the dashboard, API, foxy-audit SDK, desktop application, and related services (the "Service")) as a registered account holder. "Service" here has the same meaning as in our Privacy Policy Section 1, except that it does not include our internal staff administrative console, which is not made available to customers under these Terms. They are separate from our Terms of Use, which govern casual, non-account browsing of our public marketing site. Where both could apply, these Terms of Service govern your use of the Service itself.

1. Acceptance of Terms
By creating an account, installing or configuring the foxy-audit SDK, or otherwise accessing the Service, you agree to be bound by these Terms of Service. If you are accepting on behalf of an organization, you represent that you are authorized to bind that organization, in which case "you" refers to that organization.
2. The Service
Foxy Audit provides a tamper-evident audit ledger, an AI policy judge, verification tooling, and exportable compliance reports for AI systems. The Service records cryptographic commitments and verdicts derived from your interactions, not their raw content. Full detail on what is and is not collected is set out in our Privacy Policy, which is incorporated into these Terms by reference.
Not legal advice or a compliance guarantee. Foxy Audit produces evidence to support your own compliance program. It is a tool, not a substitute for legal counsel, and using it does not by itself make you compliant with any law, framework, or regulation.
3. Accounts, Eligibility & Security
- You must provide accurate account information and be legally capable of entering into these Terms.
- You are responsible for all activity that occurs under your account and for keeping your login credentials and API keys confidential.
- API keys are shown once at creation and are not retained by us in plaintext; store them securely and rotate any key you believe may be compromised.
- Notify us promptly at the contact address in Section 17 of any suspected unauthorized access to your account.
4. Acceptable Use
In using the Service, you agree not to:
- Use the Service for any unlawful purpose, or to assist anyone else in doing so.
- Attack or disrupt the platform, including denial-of-service attempts, or attempts to overload, probe, or bypass rate limits, quotas, or security controls.
- Attempt to access another organization's data, escalate privileges, or tamper with, forge, or backdate audit records or the underlying hash chain.
- Decompile, reverse-engineer, scrape, or resell the Service, except where applicable law expressly permits.
- Upload or transmit viruses, worms, or other malicious code.
- Misrepresent Foxy Audit output (for example, presenting it as a legal certification) or use it to deceive auditors, customers, or regulators.
- Circumvent billing, evade quotas, or share credentials in order to exceed your plan.
Good-faith security research is welcome, provided it follows responsible disclosure and does not access data that is not yours, run automated attacks against production systems, or degrade the Service for other customers.
5. Your Data & License Grant
As between you and us, you retain all right, title, and interest in your data. You grant us a limited, non-exclusive license to process that data solely as necessary to operate the Service on your behalf: building your audit chain, grading interactions, storing commitments and verdicts, and generating reports. We do not sell your data and do not use it to train any model. Where we process personal data on your behalf, our Data Processing Agreement governs that processing and is incorporated into these Terms by reference.
6. Plans, Billing & Quotas
- Billing and merchant of record. Paid plans are sold through Paddle.com Market Ltd ("Paddle"), acting as our authorized reseller and the merchant of record for your purchase. This means your purchase is made from Paddle, not directly from Foxy Audit, and Paddle's own buyer terms and checkout process apply to the transaction, including the payment methods offered, invoicing, and applicable sales tax/VAT. Foxy Audit is the provider of the Service you're purchasing access to; Paddle is the seller handling the transaction itself.
- Automatic renewal. Paid plans renew automatically at the end of each billing period (monthly or annually, matching your plan) at the then-current price, charged to the payment method on file with Paddle, unless you cancel before the renewal date. We do not require you to re-confirm each renewal.
- Price changes. We may change plan fees with at least 30 days' advance notice by email to your workspace administrator. A price change takes effect at your next renewal after the notice period; it never changes the price of a period you've already paid for.
- Quotas. Monthly event credits are enforced: once your plan's monthly credits are exhausted, new events are refused with a clear error until the next billing cycle or an upgrade, whichever comes first. Nothing is silently dropped in the meantime: the SDK spools events locally and sends them once you have credits again. We warn you as you approach your limit so an upgrade decision isn't a surprise.
- Free tier and trials. Free-tier access, and any time-limited evaluation period we offer, are provided as-is, may include lower usage limits than paid plans, and may be modified or discontinued at any time. Where a trial has a stated length, it converts to the plan you selected at signup, billed at that plan's normal price, unless you cancel before the trial ends.
- Cancellation & refunds. You may cancel at any time; cancellation stops future charges starting at your next renewal date. Except where required by law, amounts already paid are non-refundable. See our standalone Refund Policy for full detail.
7. Service Availability & Changes
We work to keep the Service reliable, but unless a separate written SLA applies to your account, the Service is provided without an uptime guarantee. We may add, change, or discontinue features from time to time, and will give reasonable notice of material changes where practical.
8. Intellectual Property
DRAFT: NOT LEGALLY REVIEWED. This Section was amended on 12 September 2026 to name two exceptions to its “no rights” sentence that already existed in the software we ship you: the MIT-licensed SDK, and the verifier inside your export. The change was made to remove a contradiction with the repository licence (issue #318); it has not been reviewed by counsel. Amended again on 18 September 2026: the sentence that lets the verifier’s own licence text govern now runs in both directions (“differ in either direction”, where it previously governed only where this paragraph was narrower) and adds that it also governs where that text withholds something this paragraph does not mention. Flagged for legal review before the next signed Order Form.
The Service, including its software, design, and the Foxy Audit name and marks, is owned by us or our licensors and is protected by intellectual property laws. These Terms grant you no rights to our intellectual property except the limited right to use the Service as permitted here, and except for these two things:
- The
foxy-auditPython SDK, which we publish under the MIT License. That licence grants rights these Terms do not, and this Section does not limit it. - The standalone ledger verifier that ships inside your export archive. It stays our property and is not open source, but you may run it, read it, keep it for as long as you keep the evidence it checks, modify your copy so that it runs in your own environment, and give it to your own auditors, regulators, insurers or counsel along with an export (who may do the same). You may not redistribute it apart from an export, sell it, or publish a modified version. We grant this because an audit record you cannot check without our permission is not evidence. This summary is not the grant. The full terms ship as
LICENSE.txtinside your export archive, and where this paragraph and that text differ in either direction, that text governs, including where that text withholds something this paragraph does not mention.
The Foxy Audit name and marks are covered by neither. You retain ownership of your own data as set out in Section 5.
9. Confidentiality
Each party agrees to protect the other's non-public information disclosed in connection with the Service using at least the same degree of care it uses for its own confidential information, and not to disclose it except to the extent necessary to perform its obligations or as required by law.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
To the maximum extent permitted by law, Foxy Audit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or relating to these Terms or the Service. Our total aggregate liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party right, including any rights relating to the data you process through the Service.
13. Term & Termination
These Terms remain in effect for as long as you use the Service. You may stop using the Service and delete your workspace at any time. We may suspend or terminate accounts that violate these Terms or that create risk to the platform or other customers, and will aim to give notice and an opportunity to remedy where it is safe to do so. On termination, your right to use the Service ends; your data is handled as described in our Privacy Policy.
14. Governing Law & Disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan, unless applicable law requires otherwise. Because we serve customers outside Pakistan, enterprise customers may reasonably negotiate a different forum or arbitration clause at contract time: this default applies absent a signed Order Form or MSA saying otherwise.
15. General Provisions
- Entire agreement: these Terms, together with our Privacy Policy and Terms of Use, and Data Processing Agreement, constitute the entire agreement between you and us regarding the Service. For customers with a signed Master Service Agreement, that agreement and its Order Forms govern in place of these Terms (see the MSA).
- Severability: if any provision is found unenforceable, the remaining provisions continue in full force.
- Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
- Force majeure: neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to account holders by email or in-app notice before taking effect, and the version number and effective date above will be revised accordingly. Continued use of the Service after changes take effect constitutes acceptance.
